This Website Terms of Use Agreement (“Agreement”) governs your access to and use of devplus.ai, devplus.io, and devplus.com and any associated subdomains (the “Site”) operated by DevPlus, Inc. (“DevPlus,” “we,” or “us”). By accessing, visiting, browsing, using, or attempting to interact with any part of the Site, you acknowledge and agree to be bound by this Agreement. As used herein, “you” or “your” refers to you, the user accessing the Services.

Please read this Agreement carefully before using the Site. If you do not agree to be bound by this Agreement, do not access, visit, browse, use, or attempt to interact with any part of the Site.

Where an enterprise organization or other third party (“Customer”) has entered into a separate Master Subscription Agreement, Order Form, or other enterprise agreement with DevPlus (“Customer Agreement”), that Customer may designate individuals as authorized users of the DevPlus platform (“Authorized Users”) on its behalf. If you are accessing the Site or the DevPlus platform as an Authorized User:

  • This Agreement applies to you as an end-user and is subordinate to the Customer Agreement. To the extent of any conflict or inconsistency between this Agreement and the Customer Agreement, the terms of the Customer Agreement shall control, followed by the provisions of this Agreement.
  • This Agreement remains effective until the Customer’s subscription expires or terminates, or your access is terminated by the Customer or DevPlus, whichever occurs first.
  • Your access to and use of the Site is subject to all limitations and restrictions set forth in the Customer Agreement in addition to those set forth herein.

If you are accessing the Site as an individual user not covered by a Customer Agreement, this Agreement constitutes the entire agreement between you and DevPlus regarding your use of the Site.

This Website is offered and available to users who 18 years of age or older and reside in the United States or any of its territories. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the DevPlus and meet all of the foregoing eligibility requirements. By using this Site on behalf of an organization, you represent and warrant that you are authorized to bind that organization to this Agreement.

We may revise and update this Agreement from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised terms means that you accept and agree to the changes.

We reserve the right to withdraw or amend this Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Site or the entire Site.

You are responsible for making all arrangements necessary for you to have access to the Site, and for ensuring that all persons who access the Site through your internet connection are aware of this Agreement and comply with it.

To access the Site or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Site that all the information you provide is correct, current, and complete. You agree that all information you provide is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential and must not disclose it to any other person or entity. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You may not permit any third party to access or use the account or credentials designated for you.

We reserve the right to suspend or terminate accounts at our discretion, including where necessary to protect the security, integrity, or operation of the Services. We are not liable for any acts or omissions by you in connection with your User Account. We are not liable for any loss or damage arising from your failure to comply with this Section.

We have the right to disable any username, password, or other identifier at any time if, in our opinion, you have violated any provision of this Agreement.

DevPlus owns all right, title, and interest in and to the Site and the DevPlus platform, including all contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), and all intellectual property rights therein. Except for the limited license expressly granted in this Agreement, DevPlus reserves all rights in and to the Site and the DevPlus platform not expressly granted herein. Nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, any intellectual property right or other right, title, or interest in or to the Site or the DevPlus platform. These Terms permit you to use the Site for your personal, non-commercial informational use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of the material on our Site except as expressly permitted herein.

The DevPlus name and all related names, logos, product and service names, designs, and slogans are trademarks of DevPlus or its affiliates or licensors. You must not use such marks without the prior written permission of DevPlus. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

You may use the Site only for lawful purposes and in accordance with this Agreement. The following is a non-exhaustive list of prohibited conduct. If you engage in unauthorized access or use of the Site or the DevPlus platform, DevPlus has the right to immediately disable or suspend your access, as determined by DevPlus in its sole and absolute discretion, and may pursue any remedies available at law or in equity.

You may NOT:

  • Permit any third party to access or use the account or credentials designated for you.
  • Use the Site or platform in any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • Sublicense, resell, time share, or otherwise similarly exploit the DevPlus platform.
  • Use the DevPlus platform for research purposes, as such use lies outside the scope of your license.
  • Use the DevPlus platform for consumer purposes unrelated to your organization’s legitimate business operations, as the DevPlus platform is intended for use by businesses and organizations.
  • Attempt to reverse engineer, decompile, hack, disable, interfere with, disassemble, modify, copy, translate, or disrupt the features, functionality, integrity, or performance of the DevPlus platform, including any AI models, workflow architecture, policy enforcement mechanisms, or governance controls, or any mechanism used to restrict or control its functionality.
  • Use any means to discover the source code of, or to discover the trade secrets in, the DevPlus platform.
  • Reproduce, adapt, create derivative works of, translate, or otherwise modify the DevPlus platform.
  • Access the DevPlus platform in order to build a similar or competitive product or service, or copy any ideas, features, functions, or graphics of the DevPlus platform.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the servers on which the Site is stored, or any server, computer, or database connected to the Site.
  • Attempt to circumvent, disable, or interfere with any policy enforcement, authorization, governance, or cost-control mechanism within the DevPlus platform.
  • Use the DevPlus platform to provision, access, or operate infrastructure within cloud environments for which you do not have authorization.
  • Input into the platform any data for which you do not have the legal right to process, including any data subject to HIPAA, GLBA, or other regulatory frameworks for which the required agreements with DevPlus have not been executed.
  • Use the Site or platform to store or transmit any data, file, software, or link that contains or redirects to a virus, Trojan horse, worm, or other harmful component.
  • Transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
  • Access, search, or create accounts for the Site by any means other than its publicly supported interfaces (for example, “scraping” or creating accounts in bulk).
  • Impersonate or attempt to impersonate DevPlus, a DevPlus employee, another user, or any other person or entity.
  • Authorize, permit, enable, induce, or encourage any third party to do any of the above.

You may provide suggestions, comments, or other feedback (“Feedback”) to DevPlus with respect to the Site or the DevPlus platform. Feedback is voluntary. You grant to DevPlus an irrevocable, non-exclusive, perpetual, fully paid-up, royalty-free license to use the Feedback in connection with DevPlus’s business, including the enhancement of the DevPlus platform, and for any other lawful purposes. Notwithstanding the foregoing, Feedback does not include Customer Data, proprietary business information, or confidential technical information shared by enterprise customers during support interactions or feature development discussions, which remains subject to the applicable confidentiality provisions of the governing Customer Agreement.

The information presented on or through the Site is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Site.

EXCEPT AS EXPRESSLY PROVIDED UNDER THIS AGREEMENT, DEVPLUS MAKES NO WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. DEVPLUS DOES NOT WARRANT THAT (A) THE OPERATION OF THE SITE OR PLATFORM WILL BE UNINTERRUPTED OR ERROR FREE; OR (B) ANY DEFECT OR MALFUNCTION IN THE SITE OR PLATFORM IS CORRECTABLE OR WILL BE CORRECTED.

YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

IN NO EVENT SHALL DEVPLUS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL DEVPLUS’S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE FEES, IF ANY, PAID BY YOU TO DEVPLUS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless DevPlus, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of this Agreement or your use of the Site.

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of your use of the Site shall be brought exclusively in the competent courts located in Delaware. If any provision is deemed unenforceable, the remaining provisions will remain in full force and effect.

You agree to comply with all applicable export control laws and regulations of the United States and other applicable jurisdictions, including the Export Administration Regulations (EAR). You represent and warrant that you are not located in, or a national or resident of, any country to which the United States has embargoed goods or services, and that you are not on any U.S. government list of prohibited or restricted parties.

No waiver by DevPlus of any term or condition set out in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of DevPlus to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.

This Agreement will be enforced to the fullest extent permitted under applicable law. If any provision of this Agreement is held invalid by a court of competent jurisdiction, the remaining provisions of the Agreement will remain in full force and effect.

You may not assign any of your rights or delegate your obligations under this Agreement, whether by operation of law or otherwise, without the prior written consent of DevPlus. Any assignment made in violation of the foregoing shall be void and of no effect. DevPlus may assign or transfer this Agreement, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

Any provision of this Agreement which by its nature is intended to survive the expiration or termination of this Agreement shall survive any such expiration or termination, including without limitation the provisions relating to intellectual property rights, prohibited uses, disclaimer of warranties, limitation on liability, indemnification, and governing law.

This Agreement, including any terms incorporated by reference (including our Privacy Policy), constitutes the entire agreement between you and DevPlus regarding the Site and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. To the extent of any conflict or inconsistency between the provisions of this Agreement and those of a Customer Agreement, the terms of the Customer Agreement shall first prevail, followed by the provisions of this Agreement, followed by any additional documents incorporated by reference herein (e.g., the Privacy Policy).
